Article 1
The name of this organization is the Taiwan Asia-Pacific International Hot Spring Tourism Association (hereinafter referred to as "the Association").
Article 2
The Association is a legally established, non-profit social organization.
Article 3
The Association aims to promote hot spring tourism, hospitality industry, and public interest marketing. It integrates Taiwan's hot spring tourism and hospitality industries to jointly develop planning, management, marketing, and exchange programs. It fosters cooperation and mutual benefit with Asia-Pacific hot spring tourism industries, and elevates Taiwan's hot spring tourism management capabilities and international service quality.
Article 4
The organizational area of the Association covers the entire national administrative region.
Article 5
The Association's address is located in the area of the competent authority, and branch offices may be established with approval from the competent authority.
The organizational rules for branch offices shall be drafted by the Board of Directors and implemented upon approval by the competent authority.
The address of the main office and branch offices shall be reported to the competent authority for record when established or changed.
Article 6
The tasks of the Association are as follows:
  1. Jointly promote the international development of Taiwan's hot spring tourism and related industries, and strengthen connections among hot spring businesses, leisure hotels, health restaurants, local business districts, and related industry groups.
  2. Explore common technical and non-technical barriers that may be encountered in the internationalization of hot spring tourism and leisure industries, and seek solutions.
  3. Promote various marketing strategies for hot spring tourism and leisure industries to advance hot spring cultural industries internationally.
  4. Conduct international market research for hot spring tourism and leisure industries, establish the Association's website to provide member consultation, statistics, research, and development services.
  5. Integrate Taiwan's hot spring tourism and leisure industries to strengthen exchanges and alliances among Asia-Pacific businesses.
  6. Organize training courses, professional lectures, and seminars for hot spring tourism and leisure industries to build the Association's upward momentum.
  7. Lead hot spring tourism industry members on international visits, exhibitions, and exchanges to serve as a bridge to the global community.
  8. Establish the Association's certification mechanism.
  9. Organize events related to member or public welfare.
  10. Protect the legitimate rights and interests of members.
  11. Accept commissioned services from government agencies and organizations.
  12. Coordinate, cooperate with, and guide members.
Article 7
The competent authority of the Association is the Ministry of the Interior. The competent authority for the Association's purpose-related business, as defined by the charter's mission and tasks, is primarily the Tourism Bureau of the Ministry of Transportation and Communications. The Association's purpose-related business shall be subject to the guidance and supervision of the respective competent authorities.

Article 8
Membership eligibility requirements:
[1] Applicants must be organizations registered in Taiwan or branch organizations based in Taiwan, or legal entities that endorse the Association's founding mission. They must complete the membership application form, pass review by the Board of Directors, and pay the admission fee and annual dues to become official members.
[2] The Association has four types of members:
  1. Individual Members: Individuals who endorse the Association's mission, are at least 20 years old, and whose business or work relates to hot spring tourism, leisure hotels, health restaurants, or health industries. They must complete the application form, receive Board approval, and pay membership fees.
  2. Group Members: Organizations registered in Taiwan or branch organizations based in Taiwan that endorse the Association's mission. Organizations whose work relates to hot spring tourism, leisure hotels, health restaurants, or health industries must complete the application form, receive Board approval, and pay membership fees. Each group member shall designate one representative to exercise member rights.
  3. Supporting Members: Organizations registered in Taiwan or branch organizations based in Taiwan that endorse and support the Association's mission. They must complete the application form and receive Board approval. Group supporting members shall designate one representative.
  4. Honorary Members: Individuals or organizations in the Asia-Pacific region with expertise in hot springs, leisure hotels (including B&Bs), health, dining, or wellness industries, or those with academic interest in related fields. They are invited to join by the Board of Directors. Group honorary members shall designate one representative.
Article 9
Individual and Group Members (member representatives) have voting rights, election rights, candidacy rights, and recall rights. Each member (representative) has one vote. Supporting and Honorary Members do not have voting, election, candidacy, or recall rights.
Article 10
Members are obligated to comply with the Association Charter and resolutions, and to pay membership fees.
Article 11
If a member (representative) violates laws, the charter, or fails to comply with General Assembly resolutions, the Board of Directors may issue a warning or suspension. In cases of serious harm to the organization, the General Assembly may vote for expulsion.
Members who fail to pay dues shall not enjoy member rights. Members who fail to pay dues for two consecutive years shall be deemed to have voluntarily withdrawn. Members who have been expelled, withdrawn, or suspended and wish to apply for reinstatement must pay all outstanding dues unless there are justifiable reasons.
Article 12
A member shall be considered to have departed under any of the following circumstances:
  1. Loss of membership eligibility.
  2. Expulsion by resolution of the General Assembly.
Article 13
A member may submit a written statement of reasons to the Association to declare withdrawal.

Article 14
The General Assembly is the highest authority of the Association. When the number of members (representatives) exceeds 300, member representatives may be elected proportionally by district, and a Representative Assembly shall be convened to exercise the powers of the General Assembly. Representatives serve a term of 3 years; the quotas and election procedures shall be drafted by the Board and reported to the competent authority for record.
Article 15
The powers of the General Assembly are as follows:
  1. Establishing and amending the charter.
  2. Electing and recalling directors and supervisors.
  3. Resolving admission fees, annual dues, business fees, and member donations.
  4. Resolving annual work plans, reports, budgets, and final accounts.
  5. Resolving expulsion of members (representatives).
  6. Resolving disposition of assets.
  7. Resolving dissolution of the Association.
  8. Resolving other significant matters related to member rights and obligations.
    The scope of significant matters in the preceding item shall be determined by the Board.
Article 16
The Association shall have 9 directors and 3 supervisors, elected by members (representatives), who shall form the Board of Directors and the Board of Supervisors respectively. Alternate directors (1) and alternate supervisors (1) may be elected simultaneously, to fill vacancies in order. The ranking of elected candidates is determined by vote count; ties are resolved by drawing lots.
Article 17
The powers of the Board of Directors are:
  1. Reviewing membership (representative) qualifications.
  2. Electing and recalling the Chairperson.
  3. Resolving resignations of directors and the Chairperson.
  4. Hiring and dismissing staff.
  5. Drafting annual work plans, reports, budgets, and final accounts.
  6. Other matters requiring execution.
Article 18
The Board shall have one Chairperson, elected from among the directors. The Chairperson oversees and supervises all affairs internally and represents the Association externally, and presides over General Assembly and Board meetings.
Article 19
The powers of the Board of Supervisors are:
  1. Overseeing the execution of Board of Directors' work.
  2. Auditing annual final accounts.
  3. Electing and recalling the Standing Supervisor.
  4. Resolving resignations of supervisors and the Standing Supervisor.
  5. Other supervisory matters.
Article 20
The Board of Supervisors shall have 1 Standing Supervisor, elected by supervisors, who oversees daily affairs and presides over Supervisor meetings.
Article 21
Directors and supervisors serve without compensation for a term of 3 years and may be re-elected. The Chairperson may be re-elected once.
Article 22
Directors or supervisors shall be removed under any of the following:
  1. Loss of member (representative) qualification.
  2. Resignation approved by the Board of Directors or Supervisors.
  3. Recall or dismissal.
  4. Suspension period exceeding half of the term.
Article 23
The Association shall have one Secretary-General who handles affairs under the direction of the Chairperson, and additional staff as needed, nominated by the Chairperson and approved by the Board.
Article 24
The Association may establish various committees, task groups, or other internal operational units, with organizational rules approved by the Board.
Article 25
The Board may appoint one Honorary Chairperson, and several Honorary Directors and Advisors, whose terms coincide with those of the directors and supervisors.

Article 26
General Assembly meetings consist of regular and extraordinary sessions, convened by the Chairperson. Except for emergency extraordinary meetings, written notice shall be given at least 15 days in advance.
Regular meetings are held once per year. Extraordinary meetings are convened when deemed necessary by the Board, requested by at least one-fifth of members (representatives), or requested by the Board of Supervisors.
Article 27
Members (representatives) unable to attend the General Assembly in person may authorize another member (representative) in writing as proxy. Each member (representative) may serve as proxy for only one person.
Article 28
Resolutions of the General Assembly require attendance of more than half of members (representatives), with approval by the majority of those present. However, the following items require approval by two-thirds or more of those present:
  1. Establishing and amending the charter.
  2. Expulsion of members (representatives).
  3. Recall of directors and supervisors.
  4. Disposition of assets.
  5. Dissolution of the Association.
  6. Other significant matters related to member rights and obligations.
Article 29
The Board of Directors meets every 6 months; the Board of Supervisors meets every 6 months. Joint or extraordinary meetings may be convened as necessary.
Article 30
Directors must attend Board of Directors meetings; supervisors must attend Board of Supervisors meetings. Proxy attendance is not permitted. Directors or supervisors who are absent without cause for two consecutive meetings shall be deemed to have resigned.

Article 31
The Association's sources of funding are as follows:
  1. Admission Fee: Individual members NTD 5,000; Group members NTD 10,000, paid once upon admission.
  2. Annual Dues: Individual members NTD 5,000/year; Group members NTD 10,000/year, paid for one year upon admission.
  3. Member donations.
  4. Commission income.
  5. Funds and interest.
  6. Other income.
Article 32
The fiscal year of the Association follows the calendar year, from January 1 to December 31.
Article 33
Each year, the Board of Directors shall prepare the annual work plan, revenue and expenditure budget, and staff compensation table two months before the start of the fiscal year for approval at the General Assembly. At the end of the fiscal year, the Board shall prepare annual work reports, financial statements, and asset inventories, submit them to the Board of Supervisors for review, and present them at the General Assembly for approval by the end of March.
Article 34
Upon dissolution, any remaining assets shall be transferred to the local government or an organization designated by the competent authority.

Article 35
Matters not stipulated in this charter shall be governed by relevant laws and regulations.
Article 36
This charter shall take effect upon approval at the General Assembly and registration with the competent authority. The same applies to amendments.
Article 37
This charter was approved at the 1st General Assembly of the 1st Session on October 31, 2015. Officially registered with the Ministry of the Interior, Letter No. 1050031479, dated May 19, 2016.
